Corporate Advisory

RISC provides comprehensive advice to clients on the full spectrum of E&P transactions. RISC’s services range from technical, through commercial and transaction coordination, delivered by a strong team who have both technical depth and commercial perspective. RISC’s professionals have been involved in a significant number of M & A assignments incorporating the full spectrum of buy-side and sell-side advisory; corporate and asset transactions; solicited and unsolicited transactions; defence planning; and cross-border, international and domestic transactions.

RISC has provided valuations of mid-tier Australian E&P companies based on public domain data and has a strong and capable service offering in technical and commercial due diligence of detailed proprietary datasets and support towards potential acquisitions.

With deep experience in asset divestment processes, RISC can offer strategy and target identification, and considerable dataroom coordination experience.

To extend RISC’s advisory and transaction support offering, we have formed an alliance with Lazard Australia. Capitalising on complementary skills, the combination provides clients with a unique and extensive insight into the sector and assets as well as access to key decision makers not available from other advisors. Importantly, RISC and Lazard both retain their independence. RISC and Lazard may choose to jointly pitch or execute an advisory mandate where they believe it is beneficial, but clients retain the flexibility to hire one or the other independently should they wish to do so.

Unconventional Gas

RISC advises industry participants on the issues and opportunities in the commercialisation of unconventional resource projects through international export or domestic energy markets. RISC’s Unconventional Gas team comprises geologists, reservoir and facility engineers and commercial advisers who are experienced across key unconventional gas assets and are able to leverage approaches and methodologies developed over a range of assignments.

RISC has participated in all the Coalbed Methane projects in Australia, as well as projects in India, China, Indonesia, Europe and Africa; provided Shale Gas support in Australia and the US and Tight Gas support in Australia, China, Vietnam, Russia, Oman and Algeria.

Reserves Certification

RISC certifies reserves and carries out audits to SPE-PRMS, SEC, NI-51-01 and other standards. The principals of RISC have also had responsibility for the preparation of reserves statements, the preparation, evaluation and implementation of oil and gas field development plans, gas and LNG contract negotiation, joint venture negotiations and evaluation of new business opportunities during their careers with major organisations such as Shell, BP, Arco, Santos, Mobil, Petrofina and Woodside.

RISC applies its understanding of how unconventional resources differ from conventional oil and gas to derive reserve and resource estimates with the discipline and thoroughness applied to the conventional petroleum sector.

RISC has carried out conventional and unconventional petroleum reserves evaluations in over 30 countries, as well as due diligence and advisory assignments on behalf many major banks including Merrill Lynch, Barclays, ANZ, BNP, CSFB, Standard Chartered, Socgen, BOSI, RBS, Macquarie Bank, CBA, RMB Banker’s Trust, Mizuho Corporate Bank / Daichi Kenyo Bank, International Finance Corporation, and JP Morgan.

Gas Market Evaluation

RISC has a pre-eminent knowledge of gas market supply-demand dynamics in Australia and international LNG markets. RISC’s Gas Market Evaluation capability encompasses reviews of gas supply pricing, contracting advice, economic evaluation and commercial advice, and evaluation of the relative technical and commercial risks of gas projects. RISC has undertaken these projects for both private entities as well as government agencies.

LNG Developments

We have an in-depth understanding of LNG projects gained from over 20 years working on assignments across the entire LNG supply chain, including the assessment of projects in planning, development and production; providing advice on fiscal terms and environmental, social and economic impacts; and assistance with forming entry strategies into LNG opportunities across the globe.

Reservoir Modelling

Reservoir Modelling is a key part of RISC’s overall business. RISC’s highly experienced and motivated team of geologists, geophysicists, petrophysicists and reservoir engineers have world-wide experience, developed through careers with many of the worlds premier operating companies. We provide advisory services to the E&P industry in both conventional and non-conventional (CBM, tight gas and shale gas) settings. Our team delivers a range of professional services including in-place resource estimates, building of static and dynamic models, model audit and review and peer support. We also conduct development planning studies and provide Independent Technical Specialists Reports and Reserves Certifications. Our in-house tools include ArcView, Global Mapper, Kingdom, Petrel, REP, @RISK, Eclipse, and Petroleum Experts’ IPM.

Exploration Evaluation

The combined exploration evaluation experience of RISC and ISIS Petroleum Consultants is now truly world class, with a global multidisciplinary team in both conventional and unconventional assets. Our experience in this area includes basin evaluation, prospect generation and exploration portfolio management. We carry out reviews of farm-out opportunities, Independent Technical Specialist Reports and provide peer support and on-the-job education. We also provide practical advice on the management and execution of exploration programs and can provide the necessary support during seismic design, tendering, acquisition and processing and ultimately, the interpretation stages of a project. The ISIS team has a wealth of up-to-date experience in sequence stratigraphy, seismic stratigraphy, structural analysis, burial history modelling, petroleum systems analysis and risked play fairway analysis in frontier and mature basins. Reviews have been completed for onshore and offshore projects in most areas of the world for major, mid-tier and smaller players.

Independent Expert

RISC has provided Independent Expert services to many Australian and International Entities. Within Australia this includes preparation of Independent Specialist’s Reports for listings on the ASX, Expert witness assignments for gas contracts price redetermination for Eastern States gas supply, and Reserves and production forecasts to support the sale of interests in Bass Strait and Perth Basin. Internationally RISC has completed a number of Competent Person / Specialists Reports and Independent Valuations for interests in Mauritania, Kurdistan, Madagascar, and various UK North Sea fields.

Support to international banks such as Independent Financial Advisor for CIMB, Independent Technical Consultant to BNP Paribas, and Independent Bank’s Engineer advising Banca Intessa San Paolo cement RISC’s reputation as a world class Independent Advisor.

Expert Witness

RISC’s experience with Expert Witness assignments is considerable. Examples include Expert Witness for domestic gas contract price redeterminations; Expert Witness for a major WA gas contract price dispute; and Independent Opinion of the value of interests subject to legal dispute. Related assignments include a review of Environmental, Social and Economic factors of a major LNG project proposal on behalf of the WA Government; advice to WA Treasury for valuation of the Dampier to Bunbury Natural Gas Pipeline and advice to taxation authorities on transfer pricing arrangements for a major LNG project spanning international boundaries.

Peer Review Process

The RISC Peer Review Process provides organisations with an independent, comprehensive and objective review of a business recommendation.

The review is carried out by selected personnel from the client organisation complemented with independent specialists from RISC. The specific objectives of the review are agreed with the client at the outset. At the highest level the exercise is designed to ensure that all factors affecting a business decision have been considered and treated in an appropriate manner. This includes addressing risks and opportunities, and assessing the value impact of alternatives which may not have been considered by the project team.

Each peer review is tailored to the specific assignment to ensure efficient and effective utilisation of resources following a transparent and auditable process, and based on integrated thinking with clearly defined inputs, metrics, and deliverables.

Strategy and Corporate Planning

RISC advises clients with corporate and strategic plans and enables them to make decisions with confidence to help grow the value and performance of their company.

RISC’s Advisory team provides a range of services such as facilitation of strategy planning, board workshops; strategic, commercial and economic evaluation advice; competitor analysis; development of business plans and post take-over business plans as some examples. With such a breadth and depth of expertise and experience, RISC offers a unique and holistic perspective to Strategy and Corporate Planning assignments.
